ARTICLE I
Name
The name of this organization shall be the Boise Area Radio Kontrol Society, hereinafter referred to as the Society.
ARTICLE II
Objectives and Policies
Section 1. Objectives: The objectives of this organization shall be to promote sportsmanship, craftsmanship, fellowship and the betterment of radio control flying.
Section 2. Policies: The policies of this organization shall be determined by these bylaws, the Constitution of the Academy of Model Aeronautics and any other policies deemed necessary by a majority of the membership of the society.
ARTICLE III
Membership
Section 1. Eligibility: Membership shall be open to all persons dependent upon compliance with these bylaws and any other bonafide rule of the Society.
Section 2. Classification: The term membership used in these bylaws refers to the voting members only. Family membership is defined as having one voting member and includes all members of the immediate family less than 18 years of age and living at home. Voting member refers to one person representing their family membership in all situations requiring a vote.
Section 3. Requirements: Each member of the Society and family member who flies shall be a current member of the Academy of Model Aeronautics.
Section 4. Leave of Absence: Members in good standing who desire leave of absence may retain membership by submitting a request, stating good cause, to the board of directors. No dues shall accrue during approved leave of absence.
Section 5: Expulsion: This section provides for enforcement of the Safety Rules that are related to flying activities or any other unacceptable behavior by an individual member or members. Any individual may be expelled from membership from the Society by a two-thirds (2/3) majority vote of board if in the officers’ determination, such individual willfully commits any act or omission which is a violation of any of the terms of these Bylaws, or the Rules of the AMA, or which is detrimental the Society, the AMA, or to model aviation. A two -thirds vote of the board is required for reinstatement to the Society. Amended June 21, 2007.
ARTICLE IV
Fees and Dues
Section 1. Initiation Fee: Each new family membership shall be assessed a fee recommended by the Board and approved by the membership, upon acceptance of his application of membership. Initiation fee may be waived, at the discretion of the Board of Directors, for prospective members who are currently active members of another Academy of Model Aeronautics chartered Radio control Society.
Section 2. Society Dues: Society dues shall be determined by the directors and approved by the membership. Dues shall be paid annually. Amended June 21, 2007.
Section 3: This section is to become effective June 30, 2007. Members who have not paid dues and/or assessments by June 30 will immediately lose all privileges in the society. Members will have 30 days to pay back dues and/or assessments with no penalty. After 30 days, back dues, and/or assessments, and one-half of the initiation fee will be required to reinstate. Members who are 60 days in arrears will have to pay dues, and/or assessments, and full initiation fee to reinstate.
Section 4. Lifetime Membership: A lifetime membership shall be awarded to any member or family member who pays a fee determined by the board and approved by the membership. A lifetime membership only includes one person for each fee paid. His family shall still have the same privileges as defined under family membership in Article III, Section 2.
ARTICLE V
Officers
Section 1. Officers and Term of Office: Society offcers shall be President, Vice President, Secretary and Treasurer and the term of office for each shall be one year from January 1 and ending December 31.
Section 2: Nomination and Election: Nominees will be selected at the Society's regular meeting in October and shall be elected by a simple majority of those members in attendance at the regular November meeting.
Section 3. Replacement of Officers: Should an officer of the Society be unable to complete his term of office the membership, at the next regular meeting, elect a replacement. Exception: Should the office of the president be vacated, the Vice President shall succeed to that office and a replacement elected to the office of Vice President.
Section 4. Re-Election: No officer shall be eligible to hold the same office in the Society for more than two consecutive years.
Section 5. Officer Duties:
A. President: The president shall preside at all meetings and is the ex-officio member of all committees and shall have voting privileges. He shall insure that these bylaws and any other governing rules of the Society are adhered to.
B. Vice President: The Vice President shall preside in the absence of the President or at the request of the President. He shall be co-chairman on all committees.
C. Secretary: The Secretary shall keep an accurate record of all meetings of the Society. He/she shall conduct correspondence as directed by the President: Board of Directors; and the Society; keep a current roster of members, family members and lifetime members and copies of the Society bylaws ad the Constitution of the Academy of Model Aeronautics. He/she shall maintain a file of all Society correspondence and documents.
D. Treasurer: The Treasurer shall be custodian of all Society funds, receiving and disbursing such funds upon authorization from the Board of Directors or from the Society through a two-thirds majority vote of those members present at a regular meeting. Financial records shall be kept in order, subject to audit. All payments made by check shall have the signature of an authorized officer.
ARTICLE VI
Board of Directors
Section 1. Membership: The Corporate Board of Directors shall consist of the President, Vice President, Secretary, and Treasurer currently holding office plus two additional Directors, for a total of six Directors.  The additional Directors shall be the Past President and a member at-large elected by majority vote of those members in attendance at the regular November meeting. If the President is re-elected for more than one year then both additional Directors will be filled by election from the Society's membership.Â
Section 2. Replacement of Board Members: Should a Director of the Board be unable to complete the term of office, the Society membership shall, at the next regular meeting elect from active members a replacement to serve the remainder of the term.
Section 3. Expenditure of Funds: The Board of Directors is authorized and instructed to conduct the financial affairs to the Society. The maximum sum of $50.00 from Society funds may be obligated by authorization of the Board for any expenditure. A two-thirds majority vote of the members present at a regular meeting is required for authorization of Society expenditures over $50.00.
ARTICLE VII
Meetings and quorums
Section 1. Meetings: The Society shall hold regular meetings on the third Thursday of each month during which the normal business affairs of the Society shall be conducted. Meetings may be called at any time by the President and cancelled by the President or by a two-thirds majority vote of those members present.
Section 2. Quorums: Twenty percent (20%) of the active voting membership shall constitute a quorum for the transaction of all business of the society.
Section 3. Quorums: A quorum for a meeting of the Board of Directors shall consist of four members of the Board.
ARTICLE VIII
Committees
Section 1. Special committees shall be formed as required or determined by the Board of Directors and/or the President. Each committee is open to al of the Society's family membership. All committees will adhere to the provisions of Article 6, Section 3 of these bylaws.
Section 2. The committee chairman shall call a meeting of the committee members at least once before presenting any recommendations to the Society's membership or the Board of Directors.
Section 3. Approval of Committee Recommendations: A simple majority vote must be made by the society's voting members at a regular meeting for authorization to implement committee recommendations.
ARTICLE IX
Amendments
Section 1. These bylaws can be amended by a two thirds (2/3) majority vote of the membership present at a regular scheduled meeting and mail-in ballots received prior to the beginning of the meeting. The amendment must have been read at the two previous meetings.
Section 2. No article or section of these bylaws shall conflict with the Constitution of the Academy of Model Aeronautics.
Section 3: Amendments passed by the Society shall have notation affixed indicating the date the amendment becomes effective. Amended June 21, 2007
ARTICLE X
Authority on Procedure
Section 1. Roberts Rules of Order, Revised, and Roberts Parliamentary Law shall apply an all questions of procedure and Parliamentary law not specified in these bylaws or by the Constitution of the Academy of Model Aeronautics.
ARTICLE XI
Grievance Procedure (Flight And Safety Rules)
Amended June 21, 2007
The grievance procedure provides a mechanism to enforce existing safety rules by providing a progressive disciplinary system when needed. Although most complaints can be resolved informally, if a complaint is serious or cannot be resolved informally, the matter should be referred to the board for its consideration by means of a Grievance Form to be filled out and turned into the board. When possible at least one witness is required to sign the Grievance Form. The Safety officer/Board shall use its judgment in carrying out action on the following:
a. FIRST VIOLATION Viewpoints of both complainant(s) and accused will be considered. Complainant’s name will be disclosed. If the accused is found to be in violation by the Board, a verbal reprimand will be given to the accused by the Safety Officer/Board, and this will be recorded in the Society records.
b. SECOND VIOLATION Viewpoints of both complainant(s) and accused will be considered. Complainant’s name will be disclosed. If the accused is found to be in violation by the Board, the accused has the right to a written rebuttal, to be reviewed by the Society Safety Officer/Board. If the Board so decides, the flying privileges of the accused will be suspended for thirty (30) days. Written notice of this shall be issued and a copy published in the Society newsletter and posted at the Society field.
c. THIRD VIOLATION Viewpoints of both complainant(s) and accused will be considered. Complainant’s name will be disclosed. If the accused is found to be in violation by the Board, the Safety Officer/Board will notify the accused in writing and the Society members via the Society newsletter. A member may be expelled from the Society only upon a two-thirds (2/3) majority vote of the Board. Said expulsion will last for a one-year minimum. The expelled member may reapply for membership after the expiration of the expulsion time period.
d. Any member receiving a Grievance, who directs any retaliatory action against the person filing said grievance or members of the Society, will be subject to immediate expulsion from the Society. This is to include threats, intimidation, physical harm, intentional equipment damage, or any other action deemed to be retaliatory by the Society Officers.
